Terms of Service

These Terms of Service (“Terms”) govern all business relations between Louis Matmzohr, a freelance UI & Web Designer (“Designer”), and the Client (“Client”). By commissioning the Designer, the Client agrees to the following Terms:
1. Scope of Services
The Designer provides UI and Web Design services and all tasks necessary to deliver a final website using Framer. Hosting services are not directly provided by the Designer but may be arranged on behalf of the Client with a third-party hosting provider. The Designer is not a hosting provider.
In addition to project-based work, the Designer may offer optional ongoing services such as website maintenance, updates, and adjustments. These services require a separate written agreement.
2. Project Basis & Agreements
  • Services are generally provided on a projects basis, with deliverables and timelines defined in writing.
  • Additional ongoing agreements (e.g., maintenance, updates) are possible and must be agreed upon separately.
3. Payment Terms
  • A 50% upfront payment is required before the project starts.
  • The remaining 50% is due upon delivery of the final website.
  • Payment is due within 14 days of invoicing.
  • For ongoing services (maintenance, updates), billing will follow the individual agreement.
  • The Designer retains all rights to the work until payment is made in full.
4. Intellectual Property & Usage Rights
  • The Designer retains full copyright of all work until full payment is received.
  • Upon full payment, the Client receives the agreed usage rights for the delivered design and website.
  • The Client is responsible for ensuring that all content (texts, images, data) provided to the Designer is legally compliant and does not infringe third-party rights.
5. Client Responsibilities
The Client is responsible for:
  • Providing all necessary content, data, and materials in a timely manner.
  • Ensuring the accuracy and legality of all content used on the website.
  • Managing the hosting account and any third-party services, unless explicitly delegated to the Designer.
6. Liability & Warranty
  • The Designer is not liable for any direct, indirect, or consequential damages (e.g., lost profits, data loss, downtime).
  • The Designer is not responsible for the content published on the Client’s website.
  • The Designer is not liable for technical failures or disruptions caused by third-party providers (e.g., Framer, hosting companies, CDNs).
  • The Designer provides services “as is” and does not guarantee specific business results or outcomes.
7. Project Changes & Additional Work
Any changes or additions requested by the Client that go beyond the agreed project scope must be confirmed in writing and will be charged separately.
8. Delivery & Acceptance
  • A project is considered delivered when the final website or design is made available to the Client.
  • Unless the Client raises objections within 7 days, the project will be deemed accepted.
9. Delays Caused by Client
If the Client fails to provide necessary content, approvals, or information on time, the project schedule may be delayed. The Designer is not responsible for such delays.
10. Termination of Contract
If either party terminates the contract before completion:
  • All work already performed will be billed.
  • The upfront payment (deposit) is non-refundable.
11. Portfolio Rights
Unless explicitly agreed otherwise, the Designer reserves the right to showcase completed projects, or parts thereof, in their portfolio and marketing materials.
12. Third-Party Costs
Any third-party costs (e.g., hosting, plugins, stock images, fonts) are borne by the Client. The Designer may assist in setting up such services but is not responsible for their functionality or terms.
13. Force Majeure
The Designer is not liable for delays or non-performance caused by circumstances beyond their reasonable control (e.g., server outages, strikes, pandemics, acts of nature).
14. Confidentiality
Both parties agree to treat all business and project-related information as confidential.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of Germany. Place of jurisdiction is the Designer’s place of business.
